Lianchuang Optoelectronics Major Asset Restructuring Wants to Acquire Hann Internet
Lianchuang Optoelectronics disclosed on the evening of April 18 that the counterparty of this major asset restructuring was Nanjing Hann Digital Internet Culture Co., Ltd. and related entities. The transaction method was proposed to issue shares and pay cash to purchase assets and raise matching funds. The specific trading method is still under cautious discussion and has not yet been finalized. The company applied to the Shanghai Stock Exchange for the company's stock to continue trading from April 22, 2016. It is expected that the suspension will not exceed one month.
Previously, King Kong Glass had planned to acquire a 100% stake in Hann Internet with a price of 506 million yuan in the form of “fixed increase + cashâ€. Hann Internet focuses on two business segments, holographic multimedia interactive digital display and mobile operation, especially its "holographic interactive projection" technology can achieve the "naked eye 3D" visual effect. Hann Internet has promised that the net profit for 2014 to 2017 should reach 42 million yuan, 55 million yuan, 66 million yuan and 76 million yuan respectively.
The company's stock was suspended due to major asset restructuring on February 22, 2016. Up to now, the company has signed the "Agreement on Acquisition Intent" with the counterparty. The parties concerned are in the process of further negotiation and communication on the restructuring plan and the related assets, and the restructuring framework agreement has not yet been signed.
The company also disclosed the annual report. In 2015, the company achieved operating income of 2.497 billion yuan, an increase of 27.60%; total profit of 152 million yuan, an increase of 5.95%; net profit of 142 million yuan, an increase of 6.85%. The company plans to send 0.33 yuan (including tax).
